The terms governing your use of our website and the services we provide.
1. Agreement to terms
These Terms & Conditions ("Terms") govern your use of the website pandp.co.in and any services provided by P&P Private Limited ("P&P", "we", "us", "our"), a private limited company registered in India with its principal office in New Delhi.
By accessing our website, contacting us, or signing a Statement of Work, you agree to be bound by these Terms together with our Privacy Policy. If you do not agree, please do not use the site or engage us.
2. Our services
We provide digital growth services including:
- Search Engine Optimisation (on-page, off-page, technical, local, international, e-commerce)
- Manual link building and authority growth
- Website design and development
- UI/UX design
- Paid advertising (Facebook, Instagram, CPI, CPR, lead generation)
- Video editing and production
- Branding and marketing
- Digital and business consulting
Specific scope, deliverables and timelines are agreed in writing per engagement.
3. Client engagement & scope
3.1 Scope of work
Every engagement begins with a written proposal or Statement of Work ("SOW") setting out deliverables, timelines, dependencies, fees and assumptions. The SOW, together with these Terms, forms the entire agreement.
3.2 Change requests
Work outside the agreed scope is treated as a change request and quoted separately before being carried out. We don't add hidden hours.
3.3 Client responsibilities
You agree to provide timely access to information, accounts (with appropriate permissions), brand assets and approvals required for us to deliver the work. Delays caused by missing inputs may shift timelines.
4. Fees & payment
Fees are set out in the SOW. Standard terms unless agreed otherwise:
- One-time projects: 50% advance before kick-off, 50% on delivery.
- Monthly retainers: invoiced on the 1st of each month, payable within 7 days.
- All fees are exclusive of GST and applicable taxes.
- Late payments may incur 1.5% per month interest and suspension of work until cleared.
- Third-party costs (ad spend, hosting, tools, paid placements) are billed at cost or pre-paid by you.
We do not refund fees for work already performed. If you cancel mid-project, you pay for the work completed up to the cancellation date.
5. Intellectual property
5.1 Your IP
You own all content, brand assets and materials you provide to us. You grant us a limited licence to use them solely to deliver the services.
5.2 Deliverables
On full payment, you own the deliverables we create specifically for you (website code, content, designs, ad creatives). We retain the right to display non-confidential portions of the work in our portfolio unless specifically restricted.
5.3 Our IP
We retain ownership of all pre-existing tools, frameworks, processes, templates and know-how used in delivery. You receive a perpetual licence to use these as part of your deliverables, but not to resell or sublicence them.
5.4 Third-party assets
Where we incorporate third-party assets (stock images, plugins, fonts), they remain subject to their respective licences.
6. Confidentiality & NDAs
Each party agrees to keep confidential any non-public information learned about the other during the engagement. We are happy to sign a mutual NDA before sharing sensitive information.
By default, we treat all client work as confidential and only disclose results (not domains or specific identifiers) in case studies.
7. Results & performance disclaimers
We work hard to deliver measurable results but cannot guarantee specific rankings, traffic numbers, ROAS, install volume or revenue figures. Search engines, ad platforms and consumer behaviour are outside our control.
Past performance from other clients (case studies, agency stats) is shared as a guide, not a guarantee. Every market, audience and brand is different.
8. Warranties & liability
8.1 Our warranties
We warrant that services will be performed professionally by qualified personnel, in line with industry standards and in compliance with applicable law.
8.2 Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to our services is limited to the fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, consequential or punitive damages, loss of profit, loss of business or loss of goodwill.
8.3 Force majeure
Neither party is liable for delays caused by events outside reasonable control, natural disasters, government action, pandemics, internet outages, platform policy changes.
9. Termination
Either party may terminate a retainer engagement with 30 days' written notice. Project engagements continue until completion unless either party materially breaches and fails to cure within 14 days of written notice.
On termination, all outstanding fees become due. We hand over completed deliverables and access transfers as paid for.
10. Use of this website
You agree not to:
- Use this website for any unlawful purpose.
- Attempt to gain unauthorised access to any portion of the site or its underlying systems.
- Reproduce, redistribute or scrape content for commercial use without permission.
- Submit false information through our contact, consultation or careers forms.
- Use our brand assets, logo or content without prior written approval.
Content on this site (text, images, code, illustrations) is the property of P&P Private Limited unless otherwise credited.
11. Governing law
These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of New Delhi, India. We always prefer to resolve issues through good-faith conversation first, please reach out to us before escalating.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by updating the "Last updated" date and, where appropriate, by email to active clients. Continued use of our website or services after changes means you accept the updated Terms.
